1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of mockTB ("Service"), operated by mockTB ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

mockTB is a service that generates synthetic, mock trial balance data for software development, testing, and educational purposes.

3. Acceptable Use Policy

3.1 Permitted Uses

You may use the Service for:

• Demonstrations and product showcases
• Educational and training purposes
• Prototyping accounting or financial software
• API integration testing

3.2 Prohibited Uses

You may NOT use the Service for:

• Actual financial reporting or accounting purposes
• Tax preparation or filing
• Legal or regulatory compliance
• Auditing or verification of real financial data
• Misrepresenting mock data as real financial information
• Fraudulent activities or attempts to deceive
• Violating any applicable laws or regulations
• Reverse engineering, decompiling, or attempting to extract source code
• Attempting to circumvent usage limits or security measures
• Reselling or redistributing the Service without authorization

4. Account Registration and Security

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Payment

5.1 Subscription Tiers

We offer different subscription tiers with varying usage limits. Current pricing and limits are displayed on our website and may be changed at our discretion with notice.

5.2 Payment Terms

• All payments are processed securely through Stripe
• Subscriptions renew automatically unless cancelled
• You may cancel your subscription at any time through your account settings or the billing portal
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial subscription periods

5.3 Usage Limits

Each subscription tier has specific usage limits. Exceeding these limits may result in service interruption or the need to upgrade your plan. We reserve the right to enforce usage limits and may throttle or suspend service for excessive use.

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including all software, designs, text, graphics, and other content, is owned by mockTB and is protected by copyright, trademark, and other intellectual property laws.

6.2 Generated Data

You own the mock trial balance data generated through your use of the Service. However, you acknowledge that this data is synthetic and has no inherent value beyond its use for testing and development purposes. We retain the right to use aggregated, anonymized usage statistics for Service improvement.

7. Disclaimers and Limitation of Liability

7.1 No Warranty

We disclaim all warranties, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of generated data
• Warranties that the Service is suitable for accounting or financial purposes

7.2 Not Financial or Professional Advice

The Service does not provide financial, accounting, tax, legal, or professional advice. The generated data is for testing and development purposes only. You should consult qualified professionals for actual accounting, financial, or legal matters.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Loss of goodwill
• Damages arising from use or inability to use the Service
• Damages arising from reliance on generated mock data

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is less.

8. Indemnification

You agree to indemnify, defend, and hold harmless mockTB and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your misuse of generated mock data; or (d) your violation of any rights of another party.

9. Service Availability and Modifications

We reserve the right to:

• Modify, suspend, or discontinue the Service at any time
• Change subscription pricing with 30 days' notice
• Impose or modify usage limits
• Refuse service to anyone for any reason

We will make reasonable efforts to notify users of significant changes, but we are not liable for any service interruptions or modifications.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service or excessive use
• Non-payment of subscription fees

Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us or through your account settings.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except for disputes that may be brought in small claims court. You waive any right to participate in class actions.

12. API Usage Terms

If you use our API:

• You must keep your API keys secure and confidential
• You are responsible for all activity under your API keys
• You must respect rate limits and usage quotas
• You may not attempt to circumvent authentication or security measures
• API availability and functionality may change without notice

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and mockTB regarding the Service and supersede all prior agreements and understandings.
